Decision No. 808/QD-BKHDT dated May 15th, 2023 by the Minister of Planning and Investment.

Article 1. Position and functions

Agency for Business Registration is a unit under the Ministry of Planning and Investment, which helps the Minister perform the state management functions of registration of corporates, cooperative economic organizations, sole proprietors and other types as prescribed by law.

Agency for Business Registration has its own legal status, seal and level 2 account; its operational funding is provided by the state budget and compiled in the annual estimate of the Ministry of Planning and Investment.

Article 2. Tasks and powers

1. Presiding over or participating in developing and drafting mechanisms, policies and legal documents on registration of corporates, cooperative economic organizations, sole proprietors and other types as prescribed by law, mechanisms and policies on the establishment and organization of sole proprietors.

2. Issuing or drafting and submitting to competent authorities for promulgation documents providing guidance and direction on specialization and professional processes, forms, and reporting regimes for registration of corporates, cooperative economic organizations, sole proprietors and other types as prescribed by law; instructing the establishment and organization of sole proprietors.

3. Monitoring, inspecting and supervising the business registration agency in performing operations on registration of corporates, cooperative economic organizations, sole proprietors and other types as prescribed by law; summarizing the situation of registration of corporates, cooperative economic organizations, sole proprietors and other types as prescribed by law nationwide; monitoring and summarizing the situation after business registration.

4. Regarding business registration information and other types:

a) Organizing the construction, management and operation of the National Information System for registration of corporates, cooperative economic organizations and sole proprietors;

b) Presiding over and coordinating with relevant agencies in connecting and exchanging information on registration of corporates, cooperative economic organizations, sole proprietors and other types as prescribed by law;

c) Announcing and providing information in the National Database on registration of corporates, cooperative economic organizations and sole proprietors for organizations and individuals;

d) Issuing publications and guidance documents, disseminate laws on registration of corporates, cooperative economic organizations, sole proprietors and other types as prescribed by law.

5. Providing guidance, training and professional development in the areas of responsibility of the Agency for Business Registration to business registration agencies and organizations and individuals upon request.

6. Carrying out international cooperation in fields within the functions and tasks of the Agency for Business Registration.

7. Presiding over the implementation of management tasks for unions and associations whose main fields of operation fall under the state management function of the Agency.

8. Presiding over guiding the implementation of legal regulations on investment and business for the fields under the responsibility of the Agency. Presiding over and coordinating with relevant units to organize the codification and consolidation of legal documents in the fields under the responsibility of the Agency according to regulations.

9. Managing the organizational structure, staffing, civil servants, public employees, workers and assigned assets and finances according to the provisions of law and decentralization of the Ministry.

10. Managing public non-business services at State level within the scope and fields under the responsibility of the Agency.

11. Carrying out other tasks as assigned by the Minister.

Article 3. Organizational structure

Administrative units include:

1. General Affairs, Information and Policy Division.

2.  Business Registration Professional Division.

3. Business Registration Supervision Division.

4. Agency Office.

Non-business unit includes:

1. Center for Business Registration Support.

Civil servant staffing, number of employees and number of contract workers receiving salaries from the State budget of the Agency are decided by the Minister of Planning and Investment.

Article 4. Leadership of Agency for Business Registration

1. The Agency has one Director General and some Deputy Directors General.

2. The Director General and Deputy Directors General are appointed, dismissed and terminated by the Minister of Planning and Investment according to the provisions of law.

3. The Director General of the Agency regulates the functions and tasks of administrative units under the Agency; develops working regulations and internal spending regulations of the Agency according to the provisions of law; develops the functions, tasks and organizational structure of the Business Registration Support Center and submits them to the Minister for consideration and decision.

4. The Director General is responsible before the Minister for the organization and management of all activities of the Agency.

5. The Deputy Directors General are responsible before the Director General and the law for the assigned fields of work.

Article 5. Enforcement

This Decision has come into force since the date of signing and replaces the Decision No. 1888/QD-BKHDT dated December 22^nd, 2017 by the Minister of Planning and Investment on the functions, tasks, powers and organizational structure of Agency for Business Registration.

Article 6. Implementation responsibility

Director General of Department of Organization and Personnel, Chief of the Ministry Office, Director General of Agency for Business Registration and the heads of units and organizations under the Ministry are responsible for implementing this Decision./.
